Evergreen Company News Release Evergreen Enterprises is excited to announce that we are in the process of finalizing a major asset purchase from New Creative Enterprises (NCE). Late Friday afternoon (February 27th, 2009) a court in Ohio accepted Evergreen's bid to buy the majority of NCE's existing inventory & intellectual property. Some background on NCE: NCE is a wholesale distribution company very similar to Evergreen. NCE specializes in the distribution of decorative flags & related garden product. NCE is located in Milford, Ohio and additional information about their company and products can be found at www.ncegifts.com. NCE is regarded as one of the leading designers of decorative flag & garden dcor products. How this purchase came about: In December of 2008 NCE entered Chapter 11 in order to reorganize and settle outstanding debts. In order to settle outstanding debts many companies in our industry attempt to sell both their inventory & intellectual property to raise funds. When it became apparent NCE was going to attempt to raise capital through this avenue Evergreen became involved in the bidding process. Evergreen's bid on a majority of NCE's assets was accepted by the court Friday, February 27th, 2009. Later this week the purchase will be finalized and a team will depart Richmond for NCE's office in order to start the transfer of inventory & intellectual property. In short Evergreen has purchased 1300 skus and their associated inventory. In addition to the physical inventory Evergreen also acquired the intellectual property behind these skus. This will allows us to reproduce and stock these goods if we so choose to pursue. These 1300 skus fall into our core product categories Flags, Flag Hardware, Garden, Birding and Collegiate merchandise. This purchase is in additional to the Seeds of Faith and NCE NCAA outlined to some of you last week.
